Agency Mode Terms

These Agency Mode Terms apply when you ask the Hadyah agency team to run creator campaigns on your behalf. They are in addition to our Terms & Conditions and Privacy Policy, which continue to apply in full. Where this document and the Terms & Conditions disagree about Agency Mode specifically, this document governs.

Version 2026-08-28. You accept these terms when you engage us for agency work — when you send us a brief, or accept an offer from us.

1. What we do

You give us a brief. We read it, find creators we believe fit it, approach them, negotiate their fee, and manage the work through to delivery. You are not required to approach or negotiate with anyone yourself.

2. What we can see

When you send us a brief, or accept an offer from us, our team reads that brief and the brand materials you provided with it. That is how the service works — there is no separate permission to grant, because handing us the brief is the instruction.

It gives us no access to your payment details or saved card, and we do not charge your card for agency work. If you would rather we did not act on a brief, do not send it to us and do not accept the offer; and you can ask us to stop work at any time, subject to clause 5.

3. Who engages the creator

In Agency Mode, Hadyah approaches and engages creators on your behalf. Where the platform's self-serve flow makes the agreement one between you and the creator directly, here the creator's engagement runs through us. We remain responsible to you for delivery of the work we have agreed.

4. Fees and invoicing

  • Agency work is invoiced. It is not charged to a card on file, and the platform fee that applies to self-serve collaborations does not apply here.
  • Each invoice covers our agency fee plus the creator fees for the work agreed — sized to the number of videos or pieces of content in scope. The amount is set out before work begins.
  • Invoices are issued through Stripe. For larger engagements we may instead invoice for payment by bank transfer.
  • Payment terms are stated on each invoice. Work may be paused where an invoice is overdue.

5. Starting work, and cancellation

You may cancel an engagement at any point before work has started — that is, before we have committed to a creator on your behalf.

Once work has started, the engagement cannot be cancelled and the agreed amount remains payable in full. This is because we have by then committed to creators who are relying on that commitment, and those obligations do not disappear because a campaign is called off.

Telling us to stop stops future work. It does not cancel work already started, and amounts already committed remain payable.

6. Ownership of the content

Rights in the delivered content — whether they transfer to you outright or are licensed to you for particular uses, territories and durations — are agreed for each engagement and confirmed in writing before work begins. Creators frequently price differently depending on what is being granted, which is why this is negotiated rather than fixed here.

7. Approval and revisions

We will share delivered content with you for review. The number of revisions included is part of what is agreed for the engagement. Revisions beyond that may be quoted separately.

8. What we do not promise

We do not guarantee any particular level of views, engagement, sales, or other outcome. We do not control what a creator's audience does, and no part of these terms should be read as promising a result.

9. Your information

Briefs, brand materials and product details you give us are used to run your campaigns, including sharing the relevant parts with creators we approach on your behalf. Our Privacy Policy governs how we handle this information generally.

10. Changes

We may update these terms. The version you accepted is recorded with your grant, and material changes will be put to you before they apply to work not yet started.
