These Terms & Conditions ("Terms") govern your access to and use of Hadyah.com and related services (the "Service") operated by Hadyah ("Hadyah", "we", "us"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
Hadyah is a marketplace that connects halal-focused brands ("businesses") with content creators ("creators") for product-gifting collaborations, optionally with an additional fee. Hadyah provides the platform and tools; the actual collaboration is an agreement between the business and the creator.
2. Eligibility & accounts
- You must be at least 18 years old and able to form a binding contract.
- You must provide accurate information and keep it up to date. You are responsible for activity under your account and for keeping your credentials secure.
- Creators may be required to verify ownership of their social accounts and meet eligibility criteria (such as a minimum combined following).
- We may refuse, suspend, or terminate accounts that violate these Terms or that we reasonably believe pose a risk.
3. Creator obligations
- Respond on time: respond to each request within the stated window (currently 48 hours) — yes, no, or a question. Repeatedly missing the window may result in strikes and deactivation. If a business revises its offer, the window starts again from the revised offer. A request that lapses because the business's payment could not be taken does not count against you.
- Deliver what you accept: create and publish the agreed content in good faith and within any agreed timeframe.
- Disclose collaborations: clearly disclose gifted or paid partnerships as required by applicable advertising rules (for example using #gift or #ad and platform disclosure tools).
- Provide honest opinions and lawful, non-infringing content.
4. Business obligations
- Provide accurate offers and product information.
- Ship the gifted product as described, at your own cost unless agreed otherwise.
- Pay applicable fees when a creator accepts (see Fees below).
- Keep a working payment method on file while you have open requests. A creator cannot accept a request the payment method will not cover.
- Treat creators professionally and honor the agreed terms.
5. Fees & payments
- Self-serve: a platform fee of $99 per accepted execution (or a subscription where offered).
- Agency (done-for-you): $199 per delivered video, where our team sources, negotiates, and manages delivery.
- Creator fees: where a creator charges a fee, it is agreed between the parties. Hadyah retains a platform commission of 5% on the first $1,000 of a creator fee, and 10% on the portion above $1,000.
- Escrow & authorizations: a paid collaboration is covered by two separate card authorizations. Sending a request places a hold for the platform fee — nothing is charged, but the amount is reserved against your card. The creator fee is authorized separately, once it is a price both sides have committed to. Both are captured when the creator accepts, and released according to the collaboration's status and any dispute window.
- Acceptance depends on payment: because the creator fee is authorized at the point of agreement rather than at send, an acceptance can fail if the business's card will not cover it. If that happens the collaboration does not start, nothing is charged, and the request stays open so it can be accepted once the business updates their payment method.
- Changing an offer: a business may revise the fee it is offering while a request is still open, up to a limited number of times. Each revision is a new offer: the creator's response window starts again, and the revised amount is authorized at that point.
- Taxes: you are responsible for any taxes arising from your use of the Service or from payments you receive.
6. Disputes & refunds
A business may raise a dispute within the applicable dispute window. Hadyah may, at its reasonable discretion, mediate and decide to release or refund escrowed funds. Refund eligibility depends on the circumstances of the collaboration and these Terms.
7. Content & intellectual property
- Creators retain ownership of the content they create, and grant the relevant business and Hadyah a license to use it as agreed for the collaboration and for reasonable promotional purposes, unless agreed otherwise.
- Free creator link pages may display a "Gift by Hadyah.com" attribution.
- The Hadyah name, logo, and platform are owned by Hadyah and may not be used without permission.
8. Acceptable use
You agree not to:
- Misrepresent your identity, follower metrics, or content.
- Circumvent fees or take collaborations off-platform to avoid charges.
- Post unlawful, infringing, deceptive, or harmful content.
- Interfere with, scrape, or attempt to compromise the Service.
9. Suspension & termination
You may stop using the Service at any time and may delete your account. We may suspend or terminate accounts for violations of these Terms, repeated missed response windows, fraud, or risk to the platform or its users.
10. Disclaimers
The Service is provided "as is" and "as available". Hadyah does not guarantee any particular results, reach, sales, or content quality, and is not a party to the underlying collaboration agreement between a business and a creator. To the maximum extent permitted by law, we disclaim all warranties not expressly stated.
11. Limitation of liability
To the maximum extent permitted by law, Hadyah will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or goodwill. Our total liability for any claim relating to the Service will not exceed the fees you paid to Hadyah in the three months before the event giving rise to the claim.
12. Indemnification
You agree to indemnify and hold Hadyah harmless from claims, damages, and expenses arising out of your use of the Service, your content, or your breach of these Terms.
13. Governing law
These Terms are governed by the laws of the jurisdiction in which Hadyah is established, without regard to conflict-of-law rules, and the courts of that jurisdiction will have exclusive jurisdiction over any dispute, unless mandatory local law provides otherwise.
14. Changes to these Terms
We may update these Terms from time to time. We will post the updated version here and revise the "Last updated" date. Your continued use of the Service after changes take effect constitutes acceptance.
